Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Strategic Pulse Consulting ("Strategic Pulse," "we," "us," or "our") governing your access to and use of our website, applications, and services (the "Services"). By creating an account or using the Services, you agree to these Terms.

1. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

2. Subscriptions, Billing, and Refunds

  • Paid plans renew automatically at the end of each billing period until canceled.
  • You may upgrade, downgrade, or cancel at any time. Changes take effect immediately or at the start of the next billing cycle depending on your plan.
  • Fees are non-refundable except where required by law. You retain access through the end of your current billing period after cancellation.
  • We may change pricing on a prospective basis with reasonable notice.
  • One-time services such as AI Installation and website packages are delivered as described and are non-refundable once work has begun.

3. Your Content

You retain all rights to the business information, documents, prompts, and other content you submit to the Services ("Customer Content"). You grant Strategic Pulse a limited, non-exclusive license to host, process, transmit, display, and use Customer Content solely to operate and improve the Services for you, including generating AI responses.

You represent that you have all rights necessary to submit your Customer Content and that it does not infringe or violate the rights of any third party or any applicable law.

4. AI-Generated Output

The Services generate content using artificial intelligence. AI output may be inaccurate, incomplete, or unsuitable for your specific needs. You are responsible for reviewing, editing, and approving AI-generated content before using it publicly, sending it to customers, or relying on it for business decisions. Strategic Pulse does not warrant the accuracy, completeness, or fitness of AI output for any particular purpose.

5. Acceptable Use

You agree not to:

  • Use the Services for unlawful, harmful, deceptive, or abusive purposes.
  • Attempt to reverse engineer, decompile, or extract source code from the Services.
  • Interfere with, disrupt, or overload the Services or attempt to bypass rate limits or usage restrictions.
  • Upload malware, illegal content, or content that infringes intellectual property or privacy rights.
  • Use the Services to generate content that harasses, defames, discriminates against, or defrauds others.
  • Resell, sublicense, or provide the Services to third parties without our written permission.

6. Intellectual Property

The Services, including all software, designs, text, graphics, and logos (excluding Customer Content), are owned by Strategic Pulse or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Services.

7. Third-Party Services

The Services may integrate with third-party providers (for example, AI platforms, payment processors, or email tools). Your use of those services is subject to their own terms and policies. Strategic Pulse is not responsible for third-party services or content.

8. Confidentiality

Each party will protect the other party's non-public information with the same care it uses to protect its own confidential information, and will not use or disclose it except as necessary to perform under these Terms.

9. Termination

You may cancel your account at any time. We may suspend or terminate your access if you violate these Terms, if we are required to do so by law, or if continuing to provide the Services becomes commercially impractical. Upon termination, provisions that by their nature should survive will remain in effect.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Strategic Pulse does not warrant that the Services will be uninterrupted, error-free, or produce specific business results.

11. Limitation of Liability

To the maximum extent permitted by law, Strategic Pulse will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to the Services. Our aggregate liability for any claim will not exceed the amount you paid us in the twelve months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Strategic Pulse and its affiliates from any claim or demand arising out of your Customer Content, your use of the Services, or your violation of these Terms or applicable law.

13. Changes to the Services or Terms

We may modify the Services and these Terms from time to time. Material changes will be communicated by updating the "Last updated" date and, when appropriate, by additional notice. Continued use after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Kansas, without regard to conflict of law principles. The exclusive venue for any dispute will be the state or federal courts located in Kansas, unless otherwise required by applicable law.
